Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SomaSoft, operated by Mark Nafe, an Illinois sole proprietorship ("SomaSoft," "we," "us," or "our"). By accessing or using the SomaSoft.ai website, API, research papers, web chat interface, or any related services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services after any modifications to these Terms constitutes acceptance of those modifications.

2. Description of Services

SomaSoft provides the following Services through somasoft.ai:

2.1 API Access

A RESTful API providing access to AURI's capabilities, including ethics analysis, concept graph queries, reasoning endpoints, and conversational AI. API access is subject to plan-based rate limits and usage quotas.

2.2 Research Papers

Published research papers available in free and premium tiers. Free-tier papers are accessible without an account. Premium papers require an active paid subscription.

2.3 Web Chat Interface

A browser-based conversational interface allowing direct interaction with AURI's reasoning and knowledge systems.

3. Account Registration and API Keys

Certain Services require account registration. When you register, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your API keys and account credentials.
• Accept responsibility for all activity that occurs under your account or API keys.
• Notify us immediately at support@somasoft.ai of any unauthorized use of your account.

API keys are issued per account and must not be shared, published in public repositories, or embedded in client-side code. We reserve the right to revoke API keys that are compromised or misused without prior notice.

4. Acceptable Use and Prohibited Uses

All use of the Services must comply with the Symbiotic AGI License (SAGL v1.0), which governs the AURI system. The SAGL incorporates the MIT License with an additional 20% Universal Benefit obligation, meaning outputs derived from the Services should contribute positively to humanity.

4.1 Permitted Uses

• Research, education, and academic inquiry.
• Building applications that benefit users and society.
• Ethical analysis and decision-support systems with human oversight.
• Commercial applications that comply with these Terms and the SAGL.

4.2 Prohibited Uses

You must not use the Services to:

• Weapons development — design, improve, or deploy autonomous weapons systems or components thereof.
• Mass surveillance — build or enhance tools for unauthorized tracking, profiling, or monitoring of individuals or populations.
• Manipulation — generate content intended to deceive, manipulate, or psychologically exploit individuals, including deepfakes, disinformation campaigns, or dark-pattern interfaces.
• Child sexual abuse material (CSAM) — generate, distribute, or facilitate any content that exploits or harms minors.
• Criminal justice automation — make or support fully automated decisions in criminal sentencing, parole, predictive policing, or risk scoring without meaningful human review.
• Discrimination — make automated decisions that unlawfully discriminate on the basis of race, gender, religion, sexual orientation, disability, or other protected characteristics.
• Unauthorized access — probe, scan, or test the vulnerability of the Services, or circumvent rate limits, authentication, or security measures.
• Reverse engineering — decompile, disassemble, or otherwise attempt to extract the source code or underlying models of the Services, except as expressly permitted by applicable law.
• Excessive load — intentionally overload, disrupt, or degrade the performance of the Services.
• Illegal activity — facilitate any activity that violates applicable local, state, national, or international law.

Violation of any prohibited use will result in immediate termination of your account and may be reported to appropriate authorities.

5. API Usage Limits and Rate Limiting

API access is subject to the following plan-based limits:

Requests exceeding your plan's limits will receive an HTTP 429 Too Many Requests response. Unused requests do not roll over between billing periods. We reserve the right to adjust rate limits to ensure service stability. Sustained abuse of rate limits may result in temporary or permanent suspension.

6. Billing and Payment

6.1 Payment Processing

All payments are processed through Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's Terms of Service and authorize recurring charges to your payment method.

6.2 Billing Cycle

Paid plans are billed monthly in advance. Your billing cycle begins on the date you subscribe and renews on the same date each month.

6.3 Plan Changes

• Upgrades take effect immediately. You will be charged a prorated amount for the remainder of the current billing cycle.
• Downgrades take effect at the start of the next billing cycle. You retain access to your current plan's features until the cycle ends.

6.4 Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard or by contacting support@somasoft.ai. Cancellations take effect at the end of the current billing cycle. We do not provide refunds for partial billing periods, except where required by law.

6.5 Failed Payments

If a payment fails, we will attempt to charge your payment method up to three additional times. After repeated failures, your account may be downgraded to the Free plan and paid features will be suspended.

7. Intellectual Property

7.1 SAGL v1.0 License

The AURI system and its components are licensed under the Symbiotic AGI License (SAGL) v1.0, which incorporates the MIT License with an additional requirement that 20% of commercial value derived from the system be directed toward universal benefit initiatives. 7.2 API Outputs

Outputs generated through the API (reasoning results, concept graph data, ethics analyses) are provided under the SAGL v1.0. You may use outputs in your applications and products, subject to the license terms and the 20% Universal Benefit provision.

7.3 Research Papers

Research papers published on somasoft.ai are copyrighted by SomaSoft. Free-tier papers may be cited and referenced for non-commercial academic purposes. Premium papers are licensed for use by the subscribing individual or organization only and must not be redistributed.

7.4 Your Content

You retain ownership of content you submit to the Services (queries, inputs, data). By submitting content, you grant SomaSoft a limited, non-exclusive license to process that content solely for the purpose of providing the Services.

8. Data Handling and Privacy

8.1 PII Minimization

We collect only the minimum personal information necessary to provide the Services: email address, account credentials, and payment information (processed by Stripe). We do not sell personal data to third parties.

8.2 Data Retention

API request logs and conversational data are retained for a maximum of 30 days, after which they are automatically purged. Billing records are retained as required by applicable tax and financial regulations.

8.3 Deletion Requests

You may request deletion of your personal data at any time by emailing support@somasoft.ai. We will process deletion requests within 30 days, except where retention is required by law.

8.4 CORS Policy

The API is configured with an open CORS policy (allow_origins=*). You are responsible for securing your own API keys and should never expose them in client-side code or public repositories.

8.5 Security

We employ reasonable technical and organizational measures to protect the Services and your data. However, no system is perfectly secure, and we cannot guarantee absolute security. You acknowledge and accept this inherent risk.

9. Disclaimer of Warranties

SomaSoft is an active research project. Without limiting the foregoing, we do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Services will be accurate, reliable, or complete.
• Any reasoning, ethical analysis, or other output will be suitable for production decision-making without human review.
• Defects in the Services will be corrected within any particular timeframe.

You use the Services at your own risk. All outputs should be independently verified before reliance, particularly in high-stakes domains including healthcare, legal, financial, and safety-critical applications.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOMASOFT, ITS OWNER, AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL SOMASOFT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SOMASOFT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting support@somasoft.ai or through your account settings. Upon termination, your API keys will be revoked and access to paid features will cease at the end of the current billing period.

11.2 Termination by SomaSoft

We may suspend or terminate your account, API keys, and access to the Services immediately and without prior notice if:

• You violate any provision of these Terms, including the Acceptable Use Policy (Section 4).
• You engage in activity that poses a security risk or threatens the integrity of the Services.
• We are required to do so by law or regulation.
• Your account has been inactive for more than 12 consecutive months.

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Sections 7 (Intellectual Property), 9 (Disclaimer), 10 (Limitation of Liability), and 12 (Governing Law) survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page.
• Post a notice on the somasoft.ai website.
• For registered users, send a notification to the email address associated with your account at least 14 days before changes take effect.

Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Services.
